These Terms of Service (the “Terms”) govern all access to and use of groceryguild’s official website, mobile application, in-app ordering tools, curbside pickup program, home delivery service, and any other associated products, features, or services offered by groceryguild (collectively, the “Services”).
Acceptance of Terms
By accessing or using any of groceryguild’s Services, you agree to be bound by these Terms of Service, our Privacy Policy, and all applicable federal, state, and local laws and regulations. If you do not agree to these terms in full, you are prohibited from using any of groceryguild’s offerings. Users accessing the Service on behalf of a business, organization, or other legal entity represent that they are fully authorized to bind that entity to these terms.
Use of the Website
You agree to use groceryguild’s Services only for lawful, personal, non-commercial purposes unless explicitly authorized in writing by groceryguild. You must not:
- Violate any applicable law or regulation, including but not limited to food safety, age restriction, consumer protection, and public health rules
- Transmit unauthorized advertising, promotional material, or spam via our platform
- Attempt to gain unauthorized access to our systems, user accounts, or inventory databases
- Impersonate any person or entity, including groceryguild staff or other users
- Use automated tools, scrapers, or bots to extract product pricing, inventory, or user data from our platform
- Place fraudulent, excessive, or malicious orders, including orders for perishable goods placed with no intent to receive them
- Resell groceryguild products for commercial gain without our express written permission
- Tamper with product packaging, labeling, temperature controls, or allergen warnings during pickup or delivery
- Purchase age-restricted goods if you do not meet the legal eligibility requirements in your jurisdiction of delivery or pickup
Product Information and Pricing
groceryguild makes every effort to ensure that product descriptions, pricing, nutritional information, allergen warnings, and availability details are accurate and up to date. In the event of an error in product information, pricing, or availability, we reserve the right to correct the error and cancel any orders placed based on the incorrect information at no cost to you. For fresh, perishable, or weighted goods (such as produce, meat, seafood, and bakery items), slight variations in weight, size, ripeness, or freshness from listed specifications may occur, and final pricing for weighted items will be calculated based on the actual weight of the item at the time of order fulfillment, unless a fixed-price pre-packaged option is explicitly selected at checkout. Allergen and nutritional information is provided for reference only; groceryguild cannot guarantee that products are free from cross-contamination with common allergens during processing, packaging, or fulfillment. Product availability may vary by delivery zone, pickup location, and selected time slot, and we reserve the right to limit purchase quantities of high-demand or scarce items to ensure equitable access for all customers.
Orders and Payment
All orders are subject to product availability and acceptance by groceryguild. We reserve the right to refuse or cancel any order at our sole discretion, including orders that appear fraudulent, violate these terms, or cannot be fulfilled due to stock shortages. Payment must be received in full before order dispatch or pickup, unless otherwise agreed in writing. Minimum order values and delivery fees may apply based on your selected delivery zone and time slot. For age-restricted products (including alcohol, tobacco, and vaping products where legally permitted), you must be of the legal age to purchase such items in your jurisdiction, and valid government-issued ID will be required at delivery or pickup. Delivery personnel will verify ID at the point of handoff; if valid ID is not presented, or you are not present to accept the delivery, the age-restricted portion of your order will be canceled and refunded, and you may be subject to additional fees or account restrictions for repeated violations. If an item in your order is out of stock, we will notify you prior to dispatch and may offer a suitable substitute, or issue a refund for the unavailable item, unless you have opted out of substitutions at checkout. You are responsible for inspecting all products upon receipt and reporting any issues (including damage, spoilage, incorrect items, or missing products) within 24 hours of delivery or pickup to be eligible for a refund, replacement, or credit. Temperature-controlled (frozen or refrigerated) orders must be retrieved from delivery personnel or pickup locations within 15 minutes of arrival to ensure product safety; groceryguild is not liable for spoilage of temperature-sensitive goods left unretrieved beyond this window.
Intellectual Property
All content on groceryguild’s platforms — including text, images, logos, software, private label product packaging, recipes, and the "groceryguild" name and branding — is the exclusive property of groceryguild and is protected by applicable copyright, trademark, trade dress, and intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any groceryguild content without our express written permission. User-generated content (including product reviews, photos, comments, and social media posts submitted to our platforms) may be used by groceryguild for marketing, promotional, or operational purposes, subject to our Privacy Policy. By submitting user-generated content, you grant groceryguild a non-exclusive, worldwide, royalty-free, perpetual license to use, reproduce, modify, adapt, publish, and display such content in connection with our Services and business operations.
User Responsibilities
You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted under your account. You must notify groceryguild immediately of any unauthorized use of your account or any other security breach. You are also responsible for providing accurate, up-to-date contact, delivery, and payment information when placing orders, and for ensuring that any dietary restrictions, allergy information, or eligibility requirements you submit are truthful and complete. If you place an order on behalf of a third party, you are solely responsible for ensuring that third party meets all legal eligibility requirements for purchased products, including age restrictions for restricted goods. You are also responsible for complying with all local waste disposal, recycling, or bagging requirements for products and packaging received via our Services, as applicable in your jurisdiction.
Limitation of Liability
To the fullest extent permitted by law, groceryguild shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our website, products, or Services, including but not limited to damages for foodborne illness, lost perishable goods, delivery delays, or product spoilage resulting from improper storage after receipt. Our total aggregate liability to you for any claim arising from a single transaction shall not exceed the total amount you paid for the products or services in question, except where such limitation is prohibited by applicable law. groceryguild is not liable for failures or delays in Service resulting from circumstances outside our reasonable control, including but not limited to supply chain disruptions, severe weather, public health emergencies, third-party carrier delays, or government-mandated business closures. The limitations in this section do not apply to liability arising from groceryguild’s gross negligence or willful misconduct.
Governing Law
These Terms are governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or your use of groceryguild’s Services shall first be submitted to groceryguild’s customer support team for informal resolution via email to support@groceryguild.com. If the dispute cannot be resolved informally within 30 days of initial submission, it shall be resolved through binding arbitration administered by a recognized arbitration provider in New York, NY, in accordance with the provider’s commercial arbitration rules. The award of the arbitrator shall be final and binding on the parties, and may be entered in any court of competent jurisdiction. If any provision of these Terms is found to be unenforceable by a court of competent jurisdiction, the remaining provisions will remain in full force and effect, and the unenforceable provision will be replaced with a valid, enforceable provision that most closely matches the original intent of the unenforceable provision.
Changes to These Terms
groceryguild reserves the right to update, modify, or replace any part of these Terms at any time at our sole discretion. If we make material changes to these Terms, we will provide at least 30 days’ advance notice via email to the address associated with your account, via a prominent notice on our website homepage, and via an in-app notification for active users. Your continued use of our Services after the effective date of any revised Terms constitutes acceptance of the updated Terms. If you do not agree to the revised Terms, you must stop using groceryguild’s Services prior to the effective date of the changes.
